Terms of service
1. Agreement
These Terms of Service ("Terms") govern your access to and use of vimamedical.com and any purchase from Vima Medical ("Vima Medical," "we," "us"). By placing an order or using this site, you agree to these Terms. If you do not agree, do not use the site or purchase from us.
2. Eligibility — business buyers only
Vima Medical sells exclusively to businesses. By placing an order, you represent and warrant that you are:
- a licensed medical or healthcare professional,
- an authorized representative of a hospital, clinic, veterinary practice, surgery center, or other healthcare facility, or
- an authorized medical equipment reseller, repair organization, or distributor,
and that you are authorized to procure medical equipment on behalf of that entity. Purchases by individuals for personal use are prohibited. Business verification is required at checkout. We may request documentation of licensure or business status and may refuse or cancel any order that does not meet these requirements.
3. Condition of products — sold as-is
Products offered by Vima Medical are genuine OEM used, surplus, or new-surplus items sold strictly as-is and unaltered.
- Vima Medical does not refurbish, remanufacture, recondition, recertify, or modify products.
- Non-electrical items are visually and physically inspected only.
- Electrical items are power-tested only — we confirm the unit powers on and report any errors displayed. No further functional, diagnostic, calibration, or performance testing is performed.
- Items listed "For Parts or Repair" are not represented as functional and are sold final sale.
Unless expressly stated otherwise in writing, the buyer is solely responsible for inspection, testing, servicing, calibration, cleaning, disinfection, and sterilization of any product prior to any clinical use.
4. Regulatory and FDA compliance
Certain products may be regulated by the U.S. Food and Drug Administration and by state and local authorities. By purchasing, you represent that you are an authorized purchaser of the items you order and that you will use, resell, service, or dispose of them in compliance with all applicable laws and regulations. We verify authorized-purchaser status before shipping regulated items and may cancel and refund any order that cannot be verified. You are responsible for determining whether a product is appropriate and lawful for your intended use.
5. Product descriptions and photographs
Listing photographs show the actual unit offered for sale, not stock or catalog images. We describe condition as accurately as we can, but descriptions are provided to the best of our knowledge and are not warranties of performance. Cosmetic wear such as scratches, scuffs, markings, or discoloration is normal on used equipment. Review all photographs and description details before purchasing. We are not responsible for typographical errors and reserve the right to correct them.
6. Pricing, orders, and payment
All prices are in U.S. dollars and are subject to change without notice. Placing an order is an offer to purchase; no order is binding until we accept it and ship the item. We reserve the right to limit quantities and to refuse or cancel any order — including after an order is placed — for reasons including pricing errors, stock unavailability, suspected fraud, or failed buyer verification. Where an order is cancelled after payment, we refund in full. Applicable taxes are the buyer's responsibility unless a valid resale or exemption certificate is provided.
7. Shipping, title, and risk of loss
Shipping is calculated at checkout based on destination and weight using live rates from UPS, USPS, and DHL Express. Delivery estimates are provided by the carrier and are not guaranteed. Title and risk of loss pass to the buyer upon our delivery of the goods to the carrier. Claims for loss or damage in transit must be reported to us within 5 business days of the expected or actual delivery date so a carrier claim can be filed. See our Shipping Policy for details.
8. Returns
Returns are governed by our Return & Refund Policy, which is incorporated into these Terms by reference. In summary: standard items may be returned within 30 days of delivery in the condition received; items listed "For Parts or Repair" and all disposable or single-use items are final sale.
9. International orders and export
Buyers outside the United States are responsible for all customs duties, import taxes, brokerage fees, and compliance with import restrictions in the destination country. You are responsible for ensuring that the products you order may lawfully be imported into your country. You agree not to export or re-export any product in violation of applicable U.S. export control or sanctions laws.
10. Disclaimer of warranties
Except for the express return rights stated in our Return & Refund Policy, all products are provided "AS IS" and "WITH ALL FAULTS," without warranties of any kind, whether express, implied, or statutory. Vima Medical specifically disclaims all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement. No advice or information given by us creates any warranty not expressly stated here.
11. Limitation of liability
To the fullest extent permitted by law, Vima Medical shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of use, business interruption, or procurement of substitute goods, arising out of or related to your purchase or use of any product, regardless of the theory of liability. Our total aggregate liability for any claim shall not exceed the amount you actually paid for the specific product giving rise to the claim. Vima Medical is not responsible for improper use, failure to inspect or test equipment, failure to sterilize, regulatory violations, or damages resulting from product use.
12. Indemnification
You agree to indemnify, defend, and hold harmless Vima Medical and its owners, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use, resale, servicing, or disposal of products purchased from us, your breach of these Terms, or your violation of any applicable law or regulation.
13. Intellectual property
All content on this site, including text, product descriptions, photographs, and the Vima Medical name and logo, is our property or used with permission and may not be reproduced without our written consent. Manufacturer names, brands, model numbers, and REF numbers are used solely to identify the products offered and remain the property of their respective owners. Vima Medical is an independent reseller and is not an authorized dealer of, affiliated with, or endorsed by any manufacturer unless expressly stated.
14. Governing law and disputes
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or any purchase shall be brought exclusively in the state or federal courts located in DuPage County, Illinois, and you consent to the personal jurisdiction of those courts.
15. Severability and entire agreement
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. These Terms, together with our Return & Refund Policy, Shipping Policy, and Privacy Policy, constitute the entire agreement between you and Vima Medical regarding your purchase.
16. Changes to these Terms
We may update these Terms at any time by posting a revised version on this page. The version in effect at the time of your order governs that order.
